These Terms of Service (“Terms”) govern your access to and use of the Prescott Bio Canada website (the “Site”) and any purchase you make from Prescott Bio Canada Inc. (“Prescott Bio”, “we”, “us”, “our”). By placing an order or using the Site, you agree to these Terms. If you do not agree, do not use the Site or place an order.
1. Eligibility and research-use-only
You must be at least 18 years old and legally able to enter a binding contract in your jurisdiction. All products sold on the Site are labelled and sold for laboratory research use only (RUO). They are not drugs, dietary supplements, cosmetics, or foods. They are not intended for, and must not be used for, human or veterinary consumption, diagnosis, prevention, or treatment of any condition. By placing an order you represent that you are a qualified researcher (or acting on behalf of one) and that the products will be handled in a controlled research environment consistent with all applicable laws.
2. Order acceptance
Your order is an offer to purchase, not a completed contract. We may accept or decline any order at our discretion — for reasons including but not limited to inventory shortages, failed identity or address verification, prior chargeback history, or reasonable suspicion of resale for non-research purposes. If we decline your order, we will refund any charges taken. Pricing, availability, promotional discounts, and product specifications are subject to change without notice.
3. Pricing and currency
All prices on the Site are quoted in Canadian dollars (CAD) unless explicitly labelled otherwise. Applicable Canadian sales taxes (GST, HST, PST, or QST, depending on the ship-to province) are calculated at checkout and shown as separate line items on the invoice. We reserve the right to correct pricing errors before or after your order is placed; if a pricing error is discovered after acceptance, we will notify you and offer either a corrected-price re-order or a full refund.
4. Payment
Payment is processed at checkout by our payment partners. Accepted methods include Visa/Mastercard (via Stripe), Interac e-Transfer, and select cryptocurrencies (BTC, ETH, USDC). Cryptocurrency orders are processed net of Canadian sales tax where legally applicable — see the Payment page for detail. Card and Interac charges are captured at the time of order. We do not store full card numbers on our systems; card processing is handled by PCI-DSS-compliant processors.
5. Shipping and delivery
We ship from British Columbia, Canada. In-stock orders placed before 14:00 Pacific Time on a business day are dispatched the same business day; orders placed after 14:00 PT or on weekends dispatch the next business day. Typical Canadian transit is 2–4 business days, though rural or northern postal codes may add 1–2 days. We do not ship internationally at this time. Title and risk of loss pass to you when the carrier scans the parcel as delivered. See the Shipping page for the full delivery time table by province.
6. Returns and replacements
Because each vial is sealed and lot-traceable and the product is research-use-only, opened vials cannot be returned. Our full returns and replacements policy — including the 48-hour defective-vial replacement guarantee and the 14-day unopened-vial return window — is documented on the Refund Policy and Guarantee pages, and forms part of these Terms by reference.
7. Warranty disclaimer
Except as expressly stated in our Guarantee and Refund Policy, all products are provided “as is” and “as available.” To the maximum extent permitted by applicable law, we disclaim all implied warranties, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no representation that our products are suitable for any specific research application; that determination is the responsibility of the qualified researcher.
8. Limitation of liability
To the maximum extent permitted by applicable law, Prescott Bio’s total aggregate liability for any claim arising out of or related to a purchase or your use of the Site is limited to the amount you actually paid for the specific product giving rise to the claim. We will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages — including but not limited to lost research time, spoiled experiments, downstream reagent cost, lost profits, or loss of data — even if we have been advised of the possibility of such damages. Nothing in these Terms limits liability that cannot be limited under applicable Canadian consumer protection law.
9. Indemnification
You agree to indemnify and hold harmless Prescott Bio, its officers, employees, and agents from any claim, loss, or expense (including reasonable legal fees) arising out of your misuse of the products, your breach of these Terms, or your violation of any law or third-party right.
10. Governing law and jurisdiction
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
11. Dispute resolution
Before commencing formal proceedings, you agree to first contact us at support@prescottbiopeptides.st and attempt to resolve the dispute informally for at least thirty (30) days. If informal resolution fails, any dispute arising out of or related to these Terms or a purchase will be submitted to the exclusive jurisdiction of the courts located in Vancouver, British Columbia — except that either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property or confidential information.
12. Changes to these Terms
We may update these Terms from time to time. Material changes will be posted on this page with a new “Last updated” date. Continued use of the Site or placement of a new order after an update constitutes acceptance of the revised Terms.
